Dr.Max Group announces the results of its public bond offering

Dr.Max Funding CR, s.r.o. ("Issuer") in accordance with the chapter Underwriting and Sale, Article 2 Placing and Offering of Bonds of the Prospectus of the Bonds approved on 15 November 2023 by the CNB Decision No. 2023/146628/CNB/650 to file No. S-Sp-2023/00077/CNB/572, which became effective on 17 November 2023, hereby (the "Prospectus") announces that within the framework of a public offering of bonds with a fixed interest rate of 8.50% p.a. in an anticipated aggregate nominal value of up to CZK 2,500,000,000 with a possible increase of up to CZK 5,000,000,000, maturing in 2028, ISIN CZ0003556177 (the "Bonds"), a total of 500,000 Bonds with a total nominal value of CZK 5,000,000,000 (five billion Czech crowns) were subscribed and will be issued on the Issue Date, i.e. on 21 December 2023.

The prospectus of the Bonds has been approved by the Czech National Bank and published by the Issuer in accordance with Regulation (EU) 2017/1129 of the European Parliament and of the Council of 14 June 2017 on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market and repealing Directive 2003/71/EC (the "Prospectus Regulation"). By deciding to approve the prospectus, the Czech National Bank, as the competent authority under the Prospectus Regulation, only certifies that the prospectus meets the standards of completeness, clarity and consistency required by the Prospectus Regulation. The approval of the Prospectus by the Czech National Bank should not be construed as an endorsement of the Bonds being offered and/or admitted to trading on a regulated market. Any investment in any Bonds must be made solely on the basis of a prospectus approved by the Czech National Bank. Prospective investors should read the Prospectus before making any investment decision in order to fully understand the potential risks and rewards associated with a decision to invest in the Bonds.
